These Terms govern your use of the QuoteDrive platform provided by QuoteDrive LLC ("QuoteDrive", "we", "us"). By creating an account or using the service you agree to these Terms.

1. The service

QuoteDrive provides AI-assisted quoting, proposals, and operational tooling for service businesses. We do not guarantee uninterrupted or error-free performance.

2. Accounts

You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account. If signing up for a business, you confirm you have authority to bind it.

3. Acceptable use

You must not use QuoteDrive to:

• Break the law, defraud anyone, or send spam.
• Infringe intellectual-property or privacy rights.
• Probe, scan, scrape, or attempt to disrupt the service or its security.
• Upload malware or attempt to gain unauthorized access.

4. Intellectual property

QuoteDrive (including the software, branding, and documentation) is owned by QuoteDrive LLC. You receive a limited, non-exclusive, non-transferable right to use the service within your plan. You may not reverse engineer, resell, or circumvent technical limits. You retain ownership of your own content; you grant us a limited license to host and process it to provide the service.

5. Payment, billing, and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

6. Suspension & termination

We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. If your access ends, you may export your data for 30 days, after which it may be deleted.

7. Warranties & liability

To the fullest extent permitted by law we disclaim implied warranties of merchantability and fitness for a particular purpose. Our aggregate liability is capped at the fees you paid in the prior 12 months. We exclude liability for indirect, consequential, special, or punitive damages (including lost profits, data, or goodwill). Nothing limits liability for fraud, death, or personal injury where the law prohibits exclusion.

8. Indemnity

You will indemnify QuoteDrive LLC against claims arising from your content, your unlawful use of the service, or your violation of these Terms.

9. Changes

We may update these Terms. Material changes will be communicated by email or in-app notice at least 14 days before they take effect.

10. Governing law

These Terms are governed by the laws of the State of Delaware, USA, and disputes are subject to the exclusive jurisdiction of its courts.
